1. Appointment and Authority
Crownhill International College Brazil (hereinafter "CIC" or "the College"), a legal entity registered under CNPJ 29.395.178/0001-60, operating at Level 6, Floripa Shopping, Rodovia SC-401, 3116, Saco Grande, Florianópolis, SC, CEP 88032-005, Brazil, hereby appoints the Agent as a non-exclusive representative for the purpose of recruiting prospective students to enrol in CIC programmes. This appointment confers no right to enter into contracts, make promises, or create obligations on behalf of CIC. The Agent is an independent contractor, not an employee, partner, or legal representative of CIC. CIC reserves the absolute right to accept or decline any student application submitted by the Agent at its sole discretion.
2. Scope of Permitted Activities
The Agent is authorised to: promote CIC programmes using officially supplied marketing materials only; provide prospective students with accurate information about CIC programmes, fees, entry requirements, and visa processes; assist prospective students in completing the CIC online application form; and forward completed applications to CIC via the designated portal or email. The Agent is strictly prohibited from: guaranteeing admission or visa approval; collecting any payment from students on behalf of CIC; amending, reproducing, or distributing CIC materials without prior written authorisation; representing themselves as an employee, officer, or director of CIC; and using the CIC name, logo, or brand for any purpose other than the promotion of CIC programmes.
3. No Application or Visa Fees
CIC does not charge students any application fee or visa service fee. The Agent is strictly prohibited from charging students any fee in connection with applying to or enrolling at CIC, or in connection with the preparation or submission of a VITEM IV student visa application. Any breach of this clause shall result in immediate termination of this agreement, forfeiture of all outstanding commissions, and may be reported to the relevant regulatory and law enforcement authorities in the agent's country of residence and in Brazil.
4. Accuracy of Information
The Agent must ensure that all information provided to prospective students about CIC programmes, tuition fees, entry requirements, visa processes, accommodation, and graduate outcomes is accurate, current, and consistent with materials officially supplied by CIC. The Agent must not make guarantees, representations, or promises about student visa outcomes, English language test waivers, scholarship eligibility, or programme progression that have not been explicitly confirmed in writing by CIC. CIC accepts no liability for any misrepresentation made by the Agent to students.
5. Brand and Intellectual Property
All trademarks, logos, marketing materials, course descriptions, imagery, and digital assets belonging to CIC — including but not limited to "Crownhill International College Brazil", "C.I.C.", "CIC Brazil", "Learn Today. Lead Tomorrow." and related marks — are the intellectual property of the College. The Agent is granted a limited, non-exclusive, non-transferable licence to use these materials solely for the promotion of CIC programmes during the term of this agreement. The Agent must not use the CIC brand, name, logo, or any association with CIC for personal commercial gain, to promote other institutions, or in any context that could bring CIC into disrepute. Upon termination of this agreement, the Agent must immediately cease all use of CIC branding and destroy or return all supplied materials.
6. Data Protection and Privacy (LGPD Compliance)
The Agent agrees to comply with Brazil's Lei Geral de Proteção de Dados (LGPD, Lei 13.709/2018) and all applicable data protection legislation in their country of residence. Any personal data relating to prospective students — including names, contact details, passport information, financial data, and educational records — collected by the Agent in connection with CIC activities must be: collected lawfully and with the student's explicit consent; used only for the purpose of submitting a CIC application; stored securely and not shared with any third party; and deleted upon request by the student or CIC. The Agent must immediately notify CIC at agent@cicbrazil.com of any data breach or unauthorised disclosure of student personal data.
7. Ethical Conduct and Anti-Corruption
The Agent must conduct all activities honestly, ethically, and in compliance with all applicable laws. The Agent must not engage in: bribery or corrupt practices in connection with student recruitment; fraudulent misrepresentation of student academic or financial information; document fraud, including falsification of transcripts, financial statements, or identity documents; coercion, inducement, or deception of prospective students; and discrimination against prospective students on grounds of race, gender, religion, nationality, disability, or sexual orientation. Any breach of this clause shall be reported by CIC to the relevant law enforcement authorities in Brazil and in the Agent's country of residence.
8. Reporting Criminal or Fraudulent Activity
The Agent is required to immediately report to CIC at agent@cicbrazil.com any suspected fraud, document falsification, criminal activity, immigration violation, or misuse of the CIC name or brand that comes to their attention in the course of their activities. CIC reserves the right to report any criminal activity connected to the recruitment of students to the appropriate law enforcement authorities, including the Brazilian Federal Police (Polícia Federal), Interpol, and authorities in the Agent's country of residence. Failure by the Agent to report known criminal activity in which the Agent is complicit may expose the Agent to legal liability in Brazil and internationally.
9. Prohibition on Parallel Enrolment Schemes
The Agent must not recruit students for the purpose of obtaining a Brazilian student visa with no genuine intention to study at CIC. Any agent found to be recruiting students for visa-only purposes, or found to be operating a scheme that exploits the student visa system, will have their agreement terminated immediately and the matter referred to the Brazilian Federal Police and the relevant immigration authority in the student's country of origin.
10. Non-Competition and Exclusivity
This agreement is non-exclusive. The Agent may represent other educational institutions provided that: CIC students are not recruited away from or discouraged from enrolling at CIC; CIC materials and brand are not used in the promotion of competing institutions; and no student application submitted to CIC has simultaneously been submitted to a competing institution without the student's full knowledge. CIC reserves the right to appoint other agents in the same territory.
11. Commission Payment Conditions
Commission is payable only where all of the following conditions have been met: the student application was submitted through the Agent's registered account or with the Agent's code; the student has received a VITEM IV Brazilian student visa; the student has arrived in Florianópolis, Brazil; and the student has formally enrolled and paid the required tuition deposit at CIC. No commission is payable in respect of: students who withdraw prior to visa approval; students who obtain a visa but do not arrive; students who arrive but do not formally enrol; or students where the Agent's referral cannot be verified. CIC's decision on commission eligibility is final. Commission payments are made in USD via the payment method specified in this agreement, within 7 to 14 working days of confirmed enrolment.
12. Suspension of Commission
CIC may suspend commission payments pending investigation where there is a reasonable suspicion of fraud, document falsification, or breach of this agreement by the Agent. Commission withheld during a suspension may be forfeited permanently if the investigation confirms a breach. The Agent has no right to demand advance commission payments or commission on students who have not yet been enrolled.
13. Termination
Either party may terminate this agreement by providing 30 days' written notice to the other party. CIC may terminate this agreement immediately and without notice where the Agent: is found to have breached any clause of this agreement; has made fraudulent misrepresentations to students or to CIC; has charged students fees prohibited by Clause 3; has engaged in criminal activity connected to student recruitment; has used the CIC brand for personal commercial gain; or has been convicted of any criminal offence. Upon termination, the Agent shall immediately cease all recruitment activities on behalf of CIC, remove all CIC materials and branding, and return all supplied documentation. Commission owed and confirmed prior to the notice of termination shall be paid within 14 working days of termination. Commission on students enrolled after the termination date shall not be payable.
14. Breach and Remedies
Any material breach of this agreement by the Agent entitles CIC to: terminate the agreement immediately; withhold and forfeit all unpaid commissions; seek damages from the Agent for any loss suffered by CIC or by students as a result of the breach; and report the breach and the Agent's details to law enforcement, educational regulatory bodies, and immigration authorities in Brazil and in the Agent's country of residence. CIC's rights on breach are cumulative and not exclusive of any other remedy available at law or in equity.
15. Liability and Indemnity
CIC accepts no liability for any loss, damage, expense, or claim arising from: the Agent's representations to students; the Agent's failure to accurately communicate CIC programme details, fees, or visa requirements; the failure of a student to obtain a visa; any delay in commission payment resulting from incomplete student enrolment; or any third-party claims arising from the Agent's activities. The Agent shall indemnify CIC against any claim, loss, damage, cost, or expense (including legal costs) arising out of or in connection with the Agent's breach of this agreement or the Agent's activities in connection with CIC.
16. Amendments
CIC reserves the right to amend the terms of this agreement, commission structures, and programme offerings at any time by providing the Agent with 30 days' written notice. Continued recruitment activities following the notice period shall constitute acceptance of the amended terms.
17. Governing Law and Jurisdiction
This agreement is governed by the laws of the Federative Republic of Brazil. Any dispute arising from or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of Florianópolis, Santa Catarina, Brazil. The Agent waives any right to object to the jurisdiction of these courts on grounds of inconvenience or otherwise.
18. Entire Agreement
This agreement, together with any schedules or supplementary documents issued by CIC, constitutes the entire agreement between the parties with respect to the Agent's appointment. It supersedes all prior representations, understandings, and agreements, whether oral or written. No variation of this agreement shall be effective unless made in writing and signed by an authorised officer of CIC.

I confirm I have read and accepted Clauses 11 and 12 — I understand commission is payable only on confirmed enrolments after visa approval and arrival, within 7 to 14 working days.
I confirm I have read and accepted Clauses 13, 14, and 15 — Termination, Breach, Remedies, and Indemnity. I understand CIC may terminate immediately and refer breaches to law enforcement.
I confirm I have read and accepted Clauses 16, 17, and 18 — this agreement is governed by Brazilian law and subject to the courts of Florianópolis, Santa Catarina, Brazil.
